Terms of Service

These Terms of Service ("Terms") govern your access to and use of the HouERP application (the "Service"), operated by ENYOISHERO LTD ("we", "us", or "our"), a private company limited by shares registered in England and Wales (Company Number 16920201, SIC Code 47910; Registered Office: OFFICE 16148, 182-184 High Street North, East Ham, London, United Kingdom E6 2JA). By creating an account, connecting a shop, or using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least the age of majority in your jurisdiction, that you have the authority to bind the entity on whose behalf you act, and that you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. The Service

HouERP provides sellers with tools to manage their Etsy shops, including product listing, inventory, order synchronization, fulfilment and shipment-tracking return, financial reconciliation, review monitoring, and customer-service features. The Service integrates with third-party platforms, including Etsy, through their official APIs and subject to their respective terms.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations in connection with your own shops. You may not copy, modify, distribute, sell, or lease any part of the Service, and you may not attempt to reverse engineer or extract the source code of the Service.

4. Accounts and Authorization

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. When you authorize us to connect to a platform such as Etsy, you represent that you have the right to access the associated shop data and to grant us the permissions you approve during the OAuth authorization flow.

5. Acceptable Use and API Limitations

  • You may use the Service only for lawful purposes and in compliance with the Etsy Developer Terms of Use and applicable law.
  • You must not use the Service to send spam, conduct fraud, infringe the rights of others, or interfere with the operation of any third-party system.
  • You must not attempt to exceed rate limits, bypass security controls, or access data belonging to other users or shops that you are not authorized to access.
  • You must not use the Service to store or transmit content that is unlawful, harmful, or violates the policies of the connected platforms.
  • You are responsible for the accuracy and legality of the listings, products, and content you create through the Service.

6. Fees and Payment

Certain features of the Service may be subject to fees, which will be described before you incur them. Unless stated otherwise, all fees are non-refundable. We may change pricing with reasonable prior notice.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENYOISHERO LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID US IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

9. Third-Party Platforms and Data

The Service integrates with third-party platforms such as Etsy. Your use of those platforms remains subject to their own terms and policies. We are not responsible for the availability, accuracy, or legality of third-party services or for any actions taken by those platforms. You grant us the limited authorization to process platform data on your behalf solely to provide the Service.

10. Termination

You may stop using the Service at any time and may terminate your account by contacting us. We may suspend or terminate your access to the Service, in whole or in part, at any time for any reason, including if you breach these Terms, if required by applicable law, or to protect the security or integrity of the Service. Upon termination, your right to use the Service ceases, and we will handle your data in accordance with our Privacy Policy and applicable law. Sections that by their nature should survive termination will survive, including Sections 7, 8, and 11.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through good-faith negotiation, and, if not resolved, through the competent courts of England and Wales.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes.
